THIS LEAVE AND LICENCE AGREEMENT made on the 1ST day of July Two Thousand Thirteen between ……………………………….……………… residing at …………...……………………………….. hereinafter referred to as the “OWNER” (Which expressions unless excluded by or repugnant to the Context shall deem to include his / her heirs, legal representatives, Executors, administrators and assigns) of the ONE PART AND M/s. Rocket Sales Corporation Ltd. having its Head office at 15/1, Nariman Point , Mumbai – 400 001 hereinafter referred to as the “OCCUPIER” (Which expressions unless excluded by or repugnant to the context shall deem to include his / her heirs, legal representatives, Executors, administrators and assigns) of the SECOND PART.
WHEREAS the Owner is in absolute possession of the godown ……… situated and lying at premises No. ………………………………………………………… AND WHEREAS the occupier approached the owner for permission for use of a portion of his property viz. godown space at …………………………………………………….. more fully and particularly described in the schedule below for the temporary accommodation for a period not exceeding …………. only from the date of signing of this agreement which the owner has agreed to grant reserving for himself the care maintenance and services to the property and on basis of leave and licence only (which will stand if so fact resolved on the expiry of the said term of ……………….).

NOW THIS LEAVE AND LICENCE AGREEMENT WITNESSETH and is agreed by and between the parties here to that.
1) This writing shall never be construed as tenancy agreement or lease nor otherwise creating any other interest in the property on favour of the occupiers which is not at all the intention of the parties but on the contrary merely a temporary arrangement to allow the occupiers to use portion of the premises for their godown / office accommodation under the control and supervision of the owner for which purpose the owner shall retain only space. The owner shall have his own staff for the care and supervision and maintenance of and services to the property in the said rooms / spaces.
2) The occupiers shall pay to the owner fixed sum of Rs. …………… (……………………………. only) as charges for such temporary occupation and Rs…………… (……………………………….only) for the period of ONE month which sum will be paid on the 7th of every month without delay or default.
3) The occupiers have as security deposit for such payments and observance of the covenants hereunder contained kept with the owner a sum of Rs………………………….. (………………………………………………………….……..only) to be repaid without interest on revocation of licence and surrender of the said portion of the property subject to such deductions as the owner shall be entitled as against the occupiers, provided in clause 2, electric bills etc. as hereunder provided or otherwise permitted in law.
4) The occupiers shall on expiry of the period of ………………………. and licence hereunder granted or earlier revocation thereof surrender the property and deliver the same to the owner when and in such an event he will be entitled to the refund of Rs…………….. (…………………………………………………… only) subject to deductions provided in clauses 3 here of.
5) The occupiers shall have no right to make any addition or alterations to the property put shall be entitled to make interior decorations only by wooden partitions which they shall remove at their own costs at the time of surrender of the said portion of the property on expiry of the term of the licence hereby granted or earlier revocation thereof and repair all the damages if any caused to the property.
6) At the time of the expiry of the tenancy the godown has to be in perfect condition otherwise cost of repairing will be deducted from the security deposit.
7) The occupier has to take electricity connection only from the landlord and not from any other sources.

8) Any party can terminate this agreement by giving one month’s notice.
9) Any dispute arising out of this agreement shall be subject to Mumbai Court .
10) That after expiry of the period as aforesaid after due negotiation between both the parties herein above the period of license shall be extended on similar terms & conditions as above mentioned till expiry of period of ………………………. months.
IN WITNESS WHEREOF the parties have executed this Agreement this 1st day of July, 2013.
