MEMORANDUM OF RENT AGREEMENT

PARTY NO. 2	-	M/S ROCKET SALES LTD. SHREE NIVASH, 16TH FLOOR 12 TANK ROAD MUMBAI  – 457 547

Party No. 1 has decided to give 300 sq.ft. area on rent to party No.2 on the following terms and conditions mutually agreed upon between the parties :-

1.    That Party No.2 will pay to Party No.1, Rs.35000/- (Rupees Thirty Five Thousand only) per month as rent for the above referred premises on or before 5^th of next month.

2.    That the tenancy of Party No.2 will commence from 16.01.2013 for a period of 12 months. After 12 months Party No.2, if wish so, will inform 30 days in advance from expiry of 12 months, about their intentions to continue the tenancy and Party No.1 may allow Party No.2 to continue to remain as tenant for a period of 12 months on mutually agreed rent.

3.    That by giving one month notice, both parties can terminate the tenancy and the premises will be accordingly vacated by Party No.2.

4.    That Party No.2 will use the rented premises for Back Office Work & storage of their goods etc. as per their business requirements.

5.    That Party No.2 can not sub-let the rented premises to anybody.

Witness therof the above parties have signed this memorandum of rent agreement after understanding the terms and conditions mentioned herein above in the presence of witness at Pune on this the 12^th day of January, 2013.
