Sub : Placement of Work Order for Software Development
As per your proposal on the Development of Software for Integrated Business Solution for us and subsequent discussions held on 17th May, 2013, we are hereby pleased to award the development and integration of the above mentioned Software Project to your organization as per following terms and conditions:
You shall undertake with immediate effect, the responsibility of software development and automation of the following modules for Rocket Sales Ltd. (herein after referred to as RSL):
Scope of Work: KTS will be responsible for the System Study and generation of a detailed Software Requirement Specification with appropriate user interface definitions and functionality specification which will also include the system requirement with respect to Java and Oracle Based front end and Oracle RDBMS based back end. All the above modules shall have to be developed with a web interface facilitating branches & other users to log in from out side to view contents on a web page.
The complete Software will be developed according to the requirements as discussed and will be thoroughly commented and documented.
Training by ATS:
a) Operational training/User Level training will be provided to the Administrator of the Software both for Head Office and Branch personnel. RSL shall identify personnel for the above stated system/software training.
b) Operational training/User Level training will be provided to the Administrator of the Software for Factory / works personnel. The venue of the training shall be at the Works / factory at Khapoli, Maharashtra. RSL shall identify personnel for the above stated system/software training.
c) Data base administration training for the administration the Software / RDBMS to be provided to the MIS Deptt at Head Office, Mumbai. The trainees shall include the MIS Deptt of Head Office Central Data Base & Works, Khapoli. The MIS training and the development of Software should start simultaneously. RSL shall identify personnel for the Software/RDBMS/DBA training.
d) Database of RSL’s existing system shall be converted to new system, which is being developed by KTS since 1995 to the date of successful implementation of different modules.
SCHEMA & SDD (System Design Documents) of each module to be handed over by KTS to RSL in all respect.
Ownership of source code lies with RSL and source code along with its relationship with other modules to be provided by KTS to RSL.
Cost : The Approved cost for development is Rs.90,00,000/= (Rupees Ninty Lacs only)
Deliverable :
1. System Requirement Specifications – to be approved by RSL in writing.
Final version of the Software leading to acceptance including SOURCE CODE for the implemented Software.
User Manual
Operational training to the user.
Payment terms :
Rs. 5,00,000/= (Rupees Five Lacs only) with the Work Order.
Rs.5,00,000/=(Rupees Five Lacs only) by July 15, 2013, subject to satisfactory progress of the project as reviewed & agreed upon.
Rs.7,50,000/= (Rupees Seven Lacs Fifty Thousand Only) payable after delivery of Stores, Purchase & Wood Coal Module by KTS.
Rs.7,50,000/- (Rupees Seven Lacs Fifty Thousand Only) after successful implementation of Stores, Purchase & Wood Coal Module along with transfer of old data to new system and completion of training to users with User’s Manual.
Rs 7,50,000/= (Rupees Seven Lacs Fifty Thousand Only) payable after delivery of Production, Despatch and Transportation Module by KTS.
Rs.7,50,000/= (Rupees Seven Lacs Fifty Thousand Only) payable after successful implementation of Production, Despatch and Transportation Module along with transfer of old data to new system and completion of training to users with User’s Manual.
Rs.7,50,000/= (Rupees Seven Lacs Fifty Thousand Only) payable after delivery of sales module by KTS.
Rs.7,50,000/= (Rupees Seven Lacs Fifty Thousand Only) payable after successful implementation of Sales Module along with transfer of old data to new system and completion of training to users with User’s Manual.
Rs.7,50,000/= (Rupees Seven Lacs Fifty Thousand Only payable after delivery of Payroll and Finance module by KTS.
Rs.7,50,000/= (Rupees Seven Lacs Fifty Thousand Only) payable after successful implementation of Payroll & Finance along with transfer of old data to new system and completion of training to users with User’s Manual.
Rs 20,00,000/- (Rupees Twenty Lacs Only) at the time of Final Software sign off after successful implementation of the software.
Taxes & levies shall be charged extra as applicable.

Rs.7,50,000/= (Rupees Seven Lacs Fifty Thousand Only) payable after successful implementation of Payroll & Finance along with transfer of old data to new system and completion of training to users with User’s Manual.
Rs 20,00,000/- (Rupees Twenty Lacs Only) at the time of Final Software sign off after successful implementation of the software.
Taxes & levies shall be charged extra as applicable.
Bonus & Penalty Clause: Rs 5,00,000/=(Rupees Five Lacs Only) shall be paid by RSL to KTS in addition to amount agreed above as bonus provided they complete their assignment with in stipulated time frame as mentioned above with full satisfaction of RSL. However, if the above is not complied by March 31st, 2014, KTS has to pay a sum of Rs.5,00,000/= (Rupees Five Lacs Only) to RSL as penalty.
Warranty and Guarantee: KTS shall be responsible for any defect (bugs) in respect of entire supply and works carried out that may develop during the period of 12 months after completion of work. KTS shall replace/rectify all such defects at own cost when called upon to do so.
Cost of Travel: KTS shall be liable for all travel cost with respect to tickets for travel to Khapoli or any other branches as deemed fit to complete the project. However, local transport & hospitality shall be on account of RSL.
Jurisdiction : In the event of any dispute arising out of this contract shall be subject to Mumbai jurisdiction.
Please acknowledge the receipt of the Supply Order and confirm acceptance of the order.
