CONTRACT OF SERVICE

This deed of Contract entered into this the ----------day of ---------------- 2006, between ____________________, a company registered under the provisions of the Companies Act, 1956 having its Corporate Office at _________________________________ and one of their _______ Units at _____________ and represented by its General Manager Mr._________________(herein after called the PARTY OF THE FIRST PART) AND Mr. _______________ S/O _________________ residing at (local residential address) (Herein after called the PARTY OF THE SECOND PART) witnesseth as follows:

  

WHEREAS the party of the First part is a _______________ Manufacturing Unit and engaged in business of Sugar Manufacturing, Marketing etc.

AND whereas the Party of the Second Part offered to work as _______________ to perform the functions at _____________________ and work sincerely to the satisfaction of the party of the First Part.

And whereas the party of the First Part has accepted the said offer and the terms and conditions of the contract have been discussed and mutually agreed upon between the parties.

And whereas both the party of the First part and Party of the Second Part have considered expedient that the terms and conditions of the contract of engaging services of the party of the Second Part with the party of the First Part should be reduced into writing and incorporated in this contract.

NOW THIS CONTRACT WITNESSETH:

1.           The Party of the Second Part shall work as ----------------------- on contract basis for a period of ------ years, commencing from --------------------- and ending with ----------.

2.           The Party of the First Part shall pay the Party of the Second Part a consolidated sum of Rs. --------------------- (Rupees------------------------------ only per month.

3.           The Party of the First Part shall also reimburse the Party of the Second Part, conveyance expenses incurred in the course of Official Work as per the rules prevailing in the Company.

4.           The Party of the Second part shall not be entitled to any other benefits or amenities except the payment of the sum provided in Clause no: 2 and 3 above.

5.           It is expressly made clear that this agreement does not create any Master/ Servant relationship and is purely contract on Principal-to-Principal basis.

6.           The Party of the First part specifically informed the Party of the Second Part that unless and until the contract is renewed for a further period, the existing contract should cease to exist by the end of the contract period mentioned in clause 1 above.

7.           The party of the Second Part shall carryout his part of this contract scrupulously and in consonance with the dignity of the Party of the First Part.

8.           Either party may terminate this contract at any time before ------------------ by giving one month’s notice in writing or amount equivalent to one month’s consolidated sum of Rs.----------------------- mentioned in clause 2 above in lieu of notice.
