MANAGEMENT CERTIFICATE

We certify the followings for the period from October 2016 to March 2017

1.    There were no Prosecutions initiated against or show cause notices received by the Company under any statute during the year 01.09.2016 to 31.03.2017 except certain show cause notices received from Excise Department, Service Tax Department, Provident Fund, and ESI Department in regular course of business which are appropriately attended.

2.    The company has not altered the provisions of its Memorandum and Articles of Association during the period from 01.09.2016 to 31.03.2017

3.    The company has not entered into any transactions which fall under section 295,297,299 and 301 of the Companies Act 1956, in which the directors of the company may be deemed to be interested during the period from 01.09.2016 to 31.03.2017

4.    The company has not issued any securities or bought back its shares during the year from 01.09.2016 to 31.03.2017

5.    The Company has not defaulted in the repayment of public deposits, unsecured loans, debentures, facilities granted by banks, financial institutions and non-banking financial companies, except temporary overdrawn, which has since been regularized and delay in payment of installments to a bank against compromise settlement.

6.    The Company has made satisfactory arrangements for payment of Statutory Liabilities of Rs. 520.88 lakh as on 31.03.2017.

7.    The name of the Company and or any of its Directors does not appear in the defaulters’ list of Reserve Bank of India.

8.    The name of the Company does not appear in the Specific Approval List of Export Credit Guarantee Corporation.
