AGREEMENT OF MAINTENANCE AND SERVICES
THIS AGREEMENT OF MAINTENANCE AND SERVICES made this the 1st day of April 2025 BETWEEN M/s STABNET PROPERTIES & DEVELOPERS PVT. LTD. (CIN: U70102WB2013PTC123456), Company incorporated under the provisions of Companies Act, 2013 having its Registered Office at Star Building, 15th Floor, 25A, L.J.C. Road, Mumbai – 400001 represented by its authorized representative Mr Sachin Tendulkar, PAN ABCD12345, hereinafter called the SERVICE PROVIDER of the FIRST PART.
AND
AMIR KHAN working as Counsellor (Education & Sports) at THE
DEPUTY HIGH COMMISSION FOR THE PEOPLE’S REPUBLIC OF BANGLADESH IN MUMBAI having
his office at The Deputy High Commission For The People’s Republic Of
Bangladesh 5, Park Avenue, Mumbai 400001, hereinafter called the SERVICE RECEIVER of the SECOND PART.
WHEREAS the SERVICE PROVIDER
hereof is the absolute owner in respect of Flat No. 51, having 3888.00 square
feet super build up area, situated on the 7th floor of Spark Tower at Premises 5
Sachin Park Mumbai – 400001 and a car parking Space no. 064A;
AND WHEREAS SERVICE PROVIDER hereof decided and declared to grant leave
and license of above Flat to The Deputy High Commission For The People’s
Republic Of Bangladesh In Mumbai, to intending Licensee/Licensees for temporary
residential accommodation, for a period of 11(eleven) months with effect from
1st day of April 2025 to 28th day of February 2026.
AND WHEREAS it has been mutually agreed and settled by and between
the parties that the Monthly Maintenance & Service charges for the said Flat,
shall be Rs 5000.00 ( Rs Five Thousands only), payable in advance for the
entire licence period of 11 Months at the time of signing of this Agreement.
NOW THIS AGREEMENT WITNESSETH
the mutually agreed terms and conditions by and between the parties as under:-
(1) That the SERVICE PROVIDER grant
leave and license in favour of the The Deputy High Commission For The People’s
Republic Of Bangladesh In Mumbai, for using the said Flat being Flat No 51 , having
3888.00 square feet super build up area, situated on the 7th Floor at Spark Tower, 5 Sachin Park Mumbai
– 700019 and a car parking Space no. 064A more fully and particularly described
in the Schedule A hereunder written for a period of 11(eleven) months and SERVICE
RECEIVER has agreed to use and occupy the said Flat for the said period.
(2) That this agreement shall
commence on and from the 1st day April of 2025 and shall expire on 28th
day of February 2026.
(3) That the SERVICE RECEIVER shall
pay to the SERVICE PROVIDER a Maintenance & Service charge of Rs 55,000/-
(Rupees Fifty Five Thousand only) payable in advance for eleven months at the
time of signing of this Agreement for the use of Schedule A for residential
purpose for the period 1st April 2025 till 28th February 2026
at the rate of Rupees 5,000/- ( Rs Five Thousand only) per month on account of Maintenance
& Service charge, against flat number 51 situated on the 7th Floor at Spark Tower, 5 Sachin Park Mumbai
– 400001.
(4) As per the declaration given by the Deputy High Commission For The
People’s Republic Of Bangladesh, Mumbai regarding taxes & duties exception
for diplomats under Vienna Convention on Diplomatic Relations-1961 and with the
compliments of esteemed Indian Government, GST will be exempted on the
Maintenance & Service Charges.
(5) That in case any of the
parties wish to terminate the Rent License Agreement by giving a two month
prior notice in writing, this Maintenance & Service agreement will also be terminated
and thereupon on receipt of vacant possession of the premises, the SERVICE
PROVIDER shall refund the balance Maintenance & Service Charge to the SERVICE
RECEIVER.
(6) Arbitration: In case of any
dispute arising between the parties herein relating to the interpretation,
execution and / or administration of this agreement, the dispute shall be
referred to a mutually agreed arbitrator of Mumbai High Court in terms of the Arbitration
& Conciliation Act, 1996.
(7) Jurisdiction: The Courts at Mumbai
alone shall have exclusive jurisdiction for adjudication upon any disputes
arising out of and / or related to this agreement.

All that 1(one) Flat being Flat No 51, having 3888.00
square feet super build up area, situated on the 7th Floor comprised of 4 (Four)
Bed Rooms, of Spark Tower at Premises 5 Sachin Park Mumbai – 400001 and a car
parking are covered under this Agreement of License and being butted and bounded:-
